1. Agreement to Terms

By engaging our services, you (“Client”) agree to these Terms.

Work begins only after written confirmation (email/message) or payment of an invoice.

2. Scope of Work

All work is defined in a proposal, agreement, or written communication.

Any requests outside this scope are considered additional work and will be billed separately.

We reserve the right to refuse out-of-scope requests.

3. Pricing & Payment Terms

  • All prices are listed in [JPY/USD]

  • A non-refundable deposit (30–50%) may be required

  • Full payment is required before final delivery

  • Payment terms are strictly enforced as stated on the invoice

4. Late Payments

  • Late fee: [5–10% per week]

  • Work is immediately paused if payment is overdue

  • Files will not be delivered until payment is complete

We reserve the right to pursue unpaid invoices legally.

5. Overtime & Additional Work

Any work beyond the agreed scope or timeline will be billed at an additional rate, including:

  • Extra editing hours

  • Additional shoot days or extended hours

  • Last-minute changes or rush requests

Overtime rates will be communicated and applied accordingly.

6. Revisions Policy

  • Includes [2–3 rounds of revisions]

  • Additional revisions are billed

  • Major changes (new concept, direction, or structure) = new project scope

7. Feedback & Approval Timeline

  • Clients are expected to provide feedback within [3–5 business days]

  • If no feedback is received within [7 days], the project will be considered approved as-is

Any changes requested after this point will be billed as additional work.

8. Turnaround Time

Timelines are estimates and depend on:

  • Client responsiveness

  • Timely delivery of materials

Delays caused by the Client will shift delivery timelines.

Rush work = additional fee.

9. Client Responsibilities

The Client must:

  • Provide all required materials on time

  • Ensure they have legal rights to all provided content

  • Communicate clearly and promptly

We are not responsible for issues caused by incorrect or missing materials.

10. Cancellation & Kill Fees

  • Deposits are non-refundable

  • If canceled after work begins:

    • Client pays for all completed work

    • Plus a kill fee (25–50% of remaining balance)

11. Intellectual Property

  • All work remains our property until paid in full

  • Upon full payment, a license is granted (not ownership unless agreed)

We reserve the right to display work in our portfolio unless otherwise agreed.

12. Usage Rights & Licensing

Unless otherwise agreed in writing, all delivered content is licensed for specific use only.

a. Standard Usage

Includes:

  • Social media

  • Websites

  • Organic marketing

b. Paid Advertising Usage

  • Requires additional licensing fees

  • Includes ads on platforms like Instagram, YouTube, etc.

c. Broadcast / Commercial Use

  • TV, large-scale campaigns, or paid distribution requires separate agreement

d. Online Courses & Digital Products

Use in:

  • Paid courses

  • Membership platforms

  • Downloadable programs

Requires explicit licensing agreement or additional fee

e. Downloadable Content

  • Content included in paid downloads (eBooks, programs, etc.) must be licensed accordingly

13. Stock Footage & Third-Party Assets

  • Stock footage, music, and assets are licensed, not owned

  • Usage is subject to the original provider’s terms

  • The Client is responsible for any extended licensing if required beyond initial use

We are not liable for misuse of third-party licensed assets.

14. Non-Payment & Usage Restrictions

If payment is not completed:

  • The Client has no right to use the content

  • Any usage is unauthorized and subject to legal action

  • We may issue takedown requests or pursue damages

15. Right to Refuse Service

We reserve the right to refuse or terminate service at any time, including:

  • Abusive or unprofessional behavior

  • Repeated late payments

  • Excessive or unreasonable revision requests

16. Limitation of Liability

We are not liable for:

  • Indirect or consequential damages

  • Loss of revenue or business

  • Platform-related issues (YouTube, Instagram, etc.)

Total liability is limited to the amount paid.

17. Force Majeure

We are not responsible for delays due to events outside our control, including:

  • Illness

  • Equipment failure

  • Natural disasters

  • Internet outages

18. Governing Law

These Terms are governed by the laws of Japan.

19. Changes to Terms

We may update these Terms at any time. Continued use = acceptance.
